BIXBIT USA, INC. LIMITED WARRANTY

 

Effective Date: August 27, 2025 Bixbit USA, Inc. ("Bixbit," "we," "us," or "our") provides this Limited Warranty ("Warranty") for the products listed below, manufactured by Bixbit and purchased directly from Bixbit or an authorized Bixbit distributor or reseller ("Authorized Seller"). This Warranty is subject to the terms and conditions set forth below and applies solely to the original purchaser ("Customer" or "you") of the product.

 

  1. Covered Products

 

This Warranty applies to the following Bixbit products ("Products"):

 

  • Hydro Racks: Modular liquid cooling systems designed for high-performance computing environments.
  • Immersion Racks: Immersion cooling systems for data centers and computing hardware.
  • Smart PDU: Electrical equipment used to manage power distribution for Bixbit systems.
  • Industrial Transformers: Pad-mounted transformers designed for electricity distribution to support Bixbit systems or other electrical infrastructure
  • Containers: Plug and Play data center containers housing Bixbit computing equipment, cooling equipment, and smart PDU.

This Warranty does not apply to any products not manufactured by Bixbit, including but not limited to third-party components, accessories, or software, even if sold or bundled with a Bixbit Product.

 

  1. Warranty Period

 

Bixbit warrants that the Products will be free from defects in materials and workmanship under normal use and service, as defined in Section 5, for a period of one (1) year from the date of delivery to the Customer ("Warranty Period"). Optional Extended Warranty: Customers may purchase an Extended Warranty of up to two (2) additional years, subject to Bixbit’s then-current pricing and terms. The date of delivery is determined by the shipping documentation or invoice issued by Bixbit or an Authorized Seller.

 

  1. Warranty Coverage

 

During the Warranty Period, Bixbit will, at its sole discretion, repair or replace any Product or component thereof that is found to be defective in materials or workmanship under normal use and in accordance with Bixbit’s specifications, instructions, and maintenance requirements. The repaired or replaced Product will be warranted for the remainder of the original Warranty Period or ninety (90) days from the date of repair or replacement, whichever is longer. Performance Guarantee: During the Warranty Period, Bixbit warrants that the Product will materially conform to its published performance specifications when used under Normal Use and Typical Maintenance conditions.]

 

  1. Normal Use and Typical Maintenance

 

4.1 Normal Use


"Normal use" refers to the operation of the Products in accordance with Bixbit’s specifications, user manuals, and written instructions, within the following parameters:

  • Hydro Racks and Immersion Racks: Operation in a controlled data center environment with ambient temperatures between 10°C (50°F) and 35°C (95°F), relative humidity of 20% to 80% (non-condensing), and use of Bixbit-approved cooling fluids and compatible hardware. The systems must be connected to a stable power supply within the specified voltage range (e.g., 200-240V AC for single-phase or 380-480V AC for three-phase systems, as applicable).
  • Containers: Use as a housing unit for Bixbit cooling systems and computing equipment, maintained in a secure, weather-protected location with proper ventilation and protection from extreme environmental conditions (e.g., temperatures below -20°C (-4°F) or above 50°C (122°F)).
  • Transformers: Operation within the specified electrical load capacity, voltage, and frequency as indicated in the Product documentation, with proper grounding and surge protection in place.

Normal use excludes overloading, improper configuration, or use of the Products for purposes other than their intended design, as specified in Bixbit’s product manuals.

 

4.2 Typical Maintenance
To maintain Warranty coverage, the Customer must perform regular maintenance as outlined in Bixbit’s product documentation, including but not limited to:

  • Hydro Racks and Immersion Racks:
    • Regular inspection and replacement of cooling fluids every 6-12 months, or as recommended in the Product manual, using only Bixbit-approved fluids.
    • Cleaning or replacing filters (if applicable) every 3-6 months to prevent dust or debris buildup.
    • Checking and tightening all connections (e.g., hoses, fittings) quarterly to prevent leaks.
    • Monitoring system performance and temperature logs to ensure operation within specified ranges.
  • Containers:
    • Inspecting structural integrity and seals every 6 months to ensure weatherproofing and protection from environmental elements.
    • Cleaning ventilation systems and ensuring proper airflow every 3-6 months.
    • Verifying electrical grounding and connections annually.
  • Transformers:
    • Annual inspection of electrical connections, insulation, and cooling systems (e.g., fans or oil-based cooling, if applicable).
    • Monitoring for unusual noise, vibration, or overheating during operation.
    • Ensuring proper ventilation and clearance around the transformer as specified in the Product manual.

Failure to adhere to these normal use and maintenance requirements may void the Warranty.

 

  1. Limitations and Exclusions

 

This Warranty does not cover defects, damage, or failures resulting from:

  • Improper Use or Installation: Use, installation, or operation of the Product in a manner inconsistent with Bixbit’s specifications, manuals, or written instructions, including operation outside the environmental or electrical parameters outlined in Section 4.1.
  • Neglect or Misuse: Neglect, misuse, abuse, or mishandling of the Product, including exposure to extreme temperatures, moisture, dust, or other environmental conditions beyond the Product’s specified operating range.
  • Failure to Perform Maintenance: Failure to perform the typical maintenance outlined in Section 4.2 or as specified in the Product documentation.
  • Unauthorized Repairs or Modifications: Repairs, alterations, or modifications performed by anyone other than Bixbit or an authorized service provider.
  • External Causes: Damage caused by external factors, including but not limited to accidents, fire, flood, lightning, power surges, or other acts of God.
  • Consumables and Wear-and-Tear: Normal wear and tear, including degradation of components such as seals, gaskets, cooling fluids, or any consumable parts not expressly warranted by Bixbit.
  • Non-Bixbit Components: Any third-party hardware, software, or components integrated with or used in conjunction with the Product.
  1. Warranty Claim Process

 

To make a warranty claim, the Customer must:

  1. Notify Bixbit: Contact Bixbit in writing within the Warranty Period at warranty@bixbitusa.io or Bixbit USA, Inc., 240 Centre Dr, Burleson, TX 76028, and provide a detailed description of the defect, including the Product model, serial number, purchase date, and proof of purchase from Bixbit or an Authorized Seller.
  2. Obtain RMA: Obtain a Return Merchandise Authorization (RMA) number from Bixbit before returning any Product. Returns without a valid RMA number will not be accepted.
  3. Return the Product: Ship the defective Product to Bixbit’s designated facility, freight prepaid, in its original packaging or equivalent protective packaging, along with the RMA number clearly marked on the package. The Customer is responsible for all shipping, insurance, and handling costs associated with returning the Product unless otherwise agreed in writing by Bixbit.
  4. Inspection: Bixbit will inspect the returned Product to determine whether the defect is covered under this Warranty. If Bixbit determines the defect is covered, Bixbit will repair or replace the Product at no cost to the Customer for parts or labor. If the defect is not covered, Bixbit will notify the Customer and provide an estimate for repair or replacement costs, if applicable.
  1. Shipping Costs for Warranty Service
  • Covered Claims: For valid warranty claims, Bixbit will cover the cost of shipping the repaired or replacement Product back to the Customer within the United States. For international Customers, Bixbit may cover return shipping costs at its discretion, subject to applicable laws.
  • [Covered Claims (Enhanced Option): For valid warranty claims during the first twelve (12) months, Bixbit will cover both inbound and outbound shipping costs for Customers located within the continental United States.
  • Non-Covered Claims: If the defect is not covered under this Warranty, the Customer is responsible for all shipping costs, including return shipping to the Customer.
  1. Limitation of Liability

 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THIS WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BIXBIT’S SOLE OBLIGATION AND THE CUSTOMER’S EXCLUSIVE REMEDY UNDER THIS WARRANTY SHALL BE THE REPAIR OR REPLACEMENT OF THE DEFECTIVE PRODUCT AS DESCRIBED ABOVE.BIXBIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE PRODUCT OR THIS WARRANTY, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF BIXBIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

Some jurisdictions, including Texas, do not allow the exclusion or limitation of implied warranties or consequential damages, so the above limitations may not apply to you. This Warranty gives you specific legal rights, and you may also have other rights that vary by jurisdiction.

 

  1. Transferability

 

 This Warranty applies only to the original purchaser of the Product, provided, however, that the Warranty may be transferred one (1) time to a subsequent purchaser if the transfer is registered with Bixbit within thirty (30) days of resale. Any additional transfers shall render the Warranty void

  1. Governing Law

 

This Warranty shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising under this Warranty shall be resolved in the state or federal courts located in Tarrant County, Texas, and the Customer hereby consents to the jurisdiction of such courts. Dispute Resolution: Prior to initiating litigation, the parties agree to submit any dispute under this Warranty to non-binding mediation in Tarrant County, Texas. If the dispute cannot be resolved within sixty (60) days of mediation, either party may then pursue litigation.

 

  1. Modifications to Products

 

Bixbit reserves the right to modify or discontinue any Product at any time without prior notice. Such modifications or discontinuations will not affect the Warranty obligations for Products purchased prior to such changes, provided the Warranty Period has not expired.

 

  1. Compliance with Specifications

 

The Customer acknowledges that the Products are designed for specific applications and must be used and maintained in accordance with Bixbit’s technical specifications, installation guidelines, and operating instructions, as outlined in Section 4. Failure to comply with these requirements may void the Warranty.

 

  1. Force Majeure

 

Bixbit shall not be liable for delays or failure to perform its obligations under this Warranty due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, labor disputes, supply chain disruptions, or governmental actions.

  1. Entire Agreement

 

This Warranty constitutes the entire agreement between Bixbit and the Customer with respect to the warranty of the Products and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
